Terms of Service

These Terms of Service ("Terms") govern your access to and use of the mobile applications, the website at https://adprofex-ltd.com, and any related services (collectively, the "Service"), operated by AdProfex Ltd, a private limited liability company organised under the laws of the Republic of Cyprus, with registration number HE 435565 and registered office at Omonoias 13, SOHO EMBASSY, 3052 Limassol, Cyprus ("we", "us", "our", or the "Company").

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Eligibility

You must be at least eighteen (18) years old to use the Service. The Service is not intended for, and may not be used by, children under 18. By using the Service, you represent and warrant that you are at least 18, have full legal capacity to enter into these Terms, and are not barred from using the Service under the laws of Cyprus, the European Union, or your jurisdiction of residence.

2. The Service — wellness only, not a medical device

2.1. Our wellness applications, including HeartLog, are consumer wellness and lifestyle applications. Features may include camera-based heart-rate observation using photoplethysmography (a non-invasive optical method that estimates pulse from light reflected from the user's fingertip), manual logging of self-reported wellness metrics including but not limited to blood pressure, blood glucose, sleep, mood, stress, hydration, and activity, and educational and motivational content.

2.2. THE SERVICE IS INTENDED FOR GENERAL WELLNESS USE ONLY. IT IS NOT A MEDICAL DEVICE. IT IS NOT INTENDED TO DIAGNOSE, CURE, MITIGATE, TREAT, OR PREVENT ANY DISEASE OR CONDITION. THE SERVICE HAS NOT BEEN EVALUATED, CLEARED, OR APPROVED BY THE U.S. FOOD AND DRUG ADMINISTRATION (FDA), THE EUROPEAN MEDICINES AGENCY (EMA), THE JAPAN PHARMACEUTICALS AND MEDICAL DEVICES AGENCY (PMDA), OR ANY OTHER REGULATORY AUTHORITY.

2.3. The Service does not provide medical advice. No data, score, message, or content offered through the Service is intended to replace consultation with a licensed healthcare professional. Always seek the advice of your physician or other qualified healthcare provider with any question you have regarding a medical condition or before starting any diet, exercise, supplement, or wellness regimen.

2.4. The Service is not intended for users with diagnosed cardiovascular, metabolic, endocrine, or other medical conditions for which monitoring is medically required. If your physician has prescribed a regulated medical device (e.g., a cleared cuff sphygmomanometer, glucose meter, or ECG monitor), you must continue to rely on that device. The Service does not substitute for any prescribed medical equipment.

2.5. Emergency. If you believe you are having a medical emergency, dial your local emergency number immediately: 911 (United States), 119 (Japan), 112 (European Union, including Cyprus). DO NOT RELY ON THE SERVICE TO RECOGNIZE OR RESPOND TO A MEDICAL EMERGENCY.

2.6. Accuracy. Measurements provided by the Service, including any pulse, heart-rate-variability, blood pressure, or blood glucose value you record, are estimates and self-reported entries intended for general wellness tracking only. They are subject to limitations including but not limited to user physiology, finger placement, lighting, motion, device hardware, temperature, and ambient conditions. We do not warrant the accuracy, reliability, completeness, or timeliness of any data displayed by the Service. We are not responsible for any health or other decision you take based on data from the Service.

3. Account registration

3.1. To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your password and for all activity under your account.

3.2. You may not transfer your account. We may suspend or terminate your account if you breach these Terms.

4. Subscription, billing, and automatic renewal

4.1. The Service is offered on a paid subscription basis. There is no free trial. Available subscription plans, prices, and billing intervals are presented on our pricing page and at checkout, and may be updated from time to time. Prices are inclusive of any applicable VAT for EU customers and shown in your local currency where available.

4.2. Automatic renewal. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD (WEEKLY, MONTHLY OR ANNUAL, AS APPLICABLE) AT THE THEN-CURRENT PRICE, UNTIL YOU CANCEL. We will charge your payment method on each renewal date. We will send you a renewal reminder email at least seven (7) days before each annual renewal (or in accordance with applicable consumer law, whichever is stricter).

4.3. Cancellation. You may cancel your subscription at any time through your account settings ("Settings → Subscription → Cancel"), or by emailing support@adprofex-ltd.com. Cancellation will take effect at the end of the current billing period; you will retain access until that date. We do not provide pro-rated refunds for the current billing period except where required by mandatory consumer-protection law.

4.4. Payment processing. Payments are processed by Stripe Payments Europe, Limited (Ireland), a third-party payment processor. By providing your payment information, you authorise us and Stripe to charge your payment method for the applicable fees. We do not store full payment-card numbers.

4.5. Price changes. We may change subscription prices for renewal periods. We will notify you by email at least thirty (30) days before any price change. If you do not accept the new price, you may cancel before the change takes effect.

You retain ownership of any data you submit (including health metrics you log). By submitting data, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display that data solely to operate, maintain, and improve the Service. We will not sell your health data. See our Privacy Policy for details.

7. Intellectual property

The Service, including all software, design, text, graphics, trademarks, logos, and content (excluding User Content), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial wellness purposes only.

8. Third-party services

The Service may integrate with third-party platforms (e.g., Apple Health, Google Fit, Stripe). Your use of such third-party services is governed by their terms. We are not responsible for third-party services.

9. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE IS ERROR-FREE OR SECURE, OR THAT ANY MEASUREMENT IS ACCURATE.

WE SPECIFICALLY ACKNOWLEDGE AND DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY OR RELIABILITY OF ANY HEART-RATE, BLOOD-PRESSURE, BLOOD-GLUCOSE, OR OTHER PHYSIOLOGICAL VALUE DISPLAYED OR ESTIMATED BY THE SERVICE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ADPROFEX LTD, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR PERSONAL INJURY (INCLUDING ANY HEALTH-RELATED LOSS OR INJURY), ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE OR FROM ANY DATA OR MEASUREMENT PROVIDED BY THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTHING IN THESE TERMS LIMITS OUR LIABILITY FOR (i) DEATH OR PERSONAL INJURY CAUSED BY OUR GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT; (ii) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (iii) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW (INCLUDING CYPRIOT, EU, US-STATE, OR JAPANESE CONSUMER-PROTECTION LAW).

11. Indemnification

You agree to indemnify, defend, and hold harmless AdProfex Ltd from any claim, damage, loss, or expense (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service, except to the extent such claim arises from our own gross negligence or intentional misconduct.

12. Termination

We may suspend or terminate your access to the Service at any time for any breach of these Terms. You may terminate by cancelling your subscription and deleting your account. Sections 2, 6, 7, 9, 10, 11, 13, and 14 survive termination.

13. Governing law and dispute resolution

13.1. These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-law principles.

13.2. The courts of Cyprus (specifically the courts of Nicosia) have exclusive jurisdiction, except that consumers domiciled in the European Union may also bring proceedings in the courts of their place of residence, as required by EU consumer law (Regulation (EU) 1215/2012). Consumers in the United States may, where applicable mandatory state law requires, bring proceedings in their state of residence. Consumers in Japan may rely on rights under the Japanese Consumer Contract Act (消費者契約法) and applicable Japanese law.

13.3. Before initiating any legal action, you agree to first attempt to resolve the dispute informally by emailing support@adprofex-ltd.com for at least thirty (30) days.

14. Modifications

We may update these Terms. We will notify you by email or in-app notice at least fifteen (15) days before material changes take effect. Your continued use after the effective date constitutes acceptance. If you do not accept, you must stop using the Service and may cancel for a pro-rated refund of any prepaid annual fee.
